Massachusetts Business Entity Name Approval

Massachusetts Business Entity Initial Applicants: Please be advised that the Massachusetts statute requires all business entities, resident and nonresident to submit name approval prior to your application being processed.

Three Steps to Required Licensing

Step 1: Name approval

Pursuant to M.G.L. c. 155, § 9, the name of any business entity formed for the purpose of acting as an insurance producer is subject to the prior written approval of the Commissioner of Insurance.

To obtain name approval, submit a request with the legal name of the business entity to be used in Massachusetts to transact business, the business address, physical and mailing, and Federal Tax ID number (if any) to the Division of Insurance (“Division”) at: DOINameApproval@mass.gov. If approved, the Division will email a name approval letter to file with the Massachusetts Secretary of State’s Corporations Office.

All corporations, LLC's and LLP's must register with the Massachusetts Secretary of State’s Corporations Office (Secretary) to do business in Massachusetts. If a corporate entity is unable to register using its legal name, any DBA name to be used in Massachusetts must first be approved by the Division

Step 2:  File with the MA Secretary of State

File with the MA Secretary of State on the Corporate Division’s website at http://www.sec.state.ma.us/cor/Functionality/walkinmail.htm

Step 3:  Submit application through NIPR

Go to the NIPR Online Application and follow the instructions to submit your application.

Notes:

  • When submitting your Business Entity application, you will need to also submit the required documents listed on your name approval letter. Please be sure to submit a certified copy of your application for registration from the MA Secretary of State, as well as a Massachusetts Letter of Good Standing, both of which should be obtained from the Massachusetts Secretary of State and sent to DOIRegistrationDocs@mass.gov.
  • We will not accept a Letter of Good Standing from your home state in place of the MA Letter of Good Standing.
